SESSION DESCRIPTIONS

ENTITY FORMS - One size does not fit all. Some of the differences between alternative legal

organizational forms will be reviewed that make one form better in certain circumstances than

others. Do you have the most appropriate form considering these differences, or should a change be

considered?

SUCCESSION PLANNING – If past history is any indication, only a third of family businesses are likely to survive the second generation. Family businesses often lack viable succession plans, become embroiled in family squabbles that threaten operations, or become

overburdened with estate or gift taxes. We will discuss succession planning issues crucial for family business survival.

COMMERCIAL CONTRACT LAW – Some common pitfalls and how to avoid them in commercial contracts will be discussed. The proper review of a commercial contract, as well as when you need a lawyer will be considered.

INSURANCE COVERAGE ISSUES UNDER "CGL" POLICIES – What is and is not covered under a "Commercial General Liability" policy? What you don’t know may come back to haunt you.

FOREIGN WORKERS – Immigration is governed by Federal law. We will discuss the types of work visas available and give an overview of the bureaucratic maze.

HIRING & FIRING ISSUES – Sometimes the most basic personnel decisions can lead to the most expensive legal problems. Learn what you can and cannot ask a prospective employee and how to protect your business when it comes to employee termination.

COLLECTION MATTERS – Many businesses attempt to collect unpaid invoices and accounts. There are certain legal requirements that must be followed when collecting a debt. We will discuss the collection process, including the initial demand for payment, filing a lawsuit and enforcing a judgment that is obtained in court.
